PIXSHARED TERMS OF SERVICE

These Terms of Service (“Terms”) govern your use of the PixShared website, products, mobile platforms, and services (collectively, the "Platform"). By accessing our site, creating a digital shared gallery, scanning a Platform-generated QR code, uploading media, or placing an order, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

1. Overview & Platform Role

PixShared provides a hybrid platform consisting of physical printed event materials (including table cards, signage, and personalized products) and an automated, passive digital hosting intermediary that facilitates instant photo and media sharing via QR codes and digital galleries.

PixShared is purely a technical intermediary. The Platform does not pre-screen, monitor, filter, edit, or control the media uploaded by users.

2. Eligibility

To use our Platform, create an event, upload content, or place an order, you must:

Be at least 18 years old.

Provide accurate and complete information.

Use our products and digital services strictly for lawful purposes.

3. Digital Shared Albums: Host Ownership & Absolute Responsibility

The individual or entity who creates a shared digital album on PixShared is designated as the "Event Host" and is the sole administrator of that digital event space.

The Host Owns the Event: The Event Host assumes full ownership of the digital room created and is solely responsible for controlling the distribution, physical placement, and digital visibility of the QR code linking to their album.

Monitoring Duty: The Event Host assumes all responsibility for monitoring the content uploaded to their specific album and removing any material they deem inappropriate, unauthorized, or unlawful.

Assumption of Risk: The Event Host explicitly agrees that PixShared is not liable for any unauthorized uploads, pranks, malicious behavior, or inappropriate content submitted by attendees or third parties via the Host's QR code.

4. Digital Shared Albums: Uploader Warranties & Conduct

Any user who scans a PixShared QR code or accesses a link to upload a photo, video, or image to the Platform (the "Uploader"), retains copyright of their media but represents and warrants that:

They possess all necessary legal rights, licenses, and permissions (including copyright and individual publicity/privacy rights of any persons depicted) to upload, transmit, and display the content.

The content does not infringe upon any third-party intellectual property, privacy, publicity, or contractual rights.

The content is not illegal, defamatory, obscene, pornographic, harassing, hateful, threatening, or otherwise harmful.

5. Direct Transfer of Content Liability & Inter-User Disputes

Because PixShared cannot filter or control uploads in real time:

The Uploader is solely liable for any legal or civil claims arising from the specific content they upload (including copyright infringement, privacy violations, or defamation).

The Event Host is solely liable for the overall management of the event's album and how the gathered media is subsequently displayed, downloaded, shared, or utilized outside the Platform.

PixShared explicitly disclaims any and all involvement or liability in disputes between Uploaders, Event Hosts, event attendees, or third parties regarding ownership, content appropriateness, or unauthorized use of photos.

6. Orders, Payments & E-Commerce

When you place an order for physical products or premium digital tiers:

You agree that all information provided is accurate and current.

You authorize us to charge your selected payment method.

You understand that personalized, printed items are created based exactly on the details, text, and graphics you submit.

We reserve the right to refuse or cancel orders for suspected fraud, technical errors, pricing mistakes, or platform misuse.

7. Processing, Shipping & Returns

Shipping: Order processing and shipping timelines are outlined in our dedicated Shipping Policy. PixShared is not responsible for logistical delays caused by shipping carriers, customs delays, weather events, or incorrect shipping addresses provided by the customer.

Refunds: Our Returns & Refunds Policy explains eligibility, timelines, and procedures. Personalized physical items or custom-printed signage may be refunded only if there is a verified manufacturing defect, printing error made by us, or transit damage.

8. Intellectual Property

Platform IP: All website and mobile software architecture, code, proprietary layouts, QR generation mechanics, product designs, text, graphics, and branding are the exclusive property of PixShared. You may not copy, reproduce, or distribute our materials without express written permission.

User Content License: When you upload names, dates, logos, or photos for print personalization or into a digital gallery, you grant PixShared a non-exclusive, worldwide, royalty-free, temporary license to host, transmit, and process that content solely for the purpose of executing your event order or displaying your digital gallery. We do not reuse or resell personalized customer designs.

9. Prohibited Uses

You agree not to, and will not permit any third party to:

Interfere with, disrupt, or compromise the technical infrastructure or website functionality of PixShared.

Attempt unauthorized access to our secure systems, databases, or other user accounts.

Use our physical products or digital galleries for harmful, unlawful, fraudulent, defamatory, or intentionally misleading purposes.

10. Digital Millennium Copyright Act (DMCA) Safe Harbor Notice

PixShared respects intellectual property rights and complies with the safe harbor provisions of the DMCA. If you believe your copyrighted work has been uploaded to a PixShared gallery without authorization, please submit a formal DMCA Take-Down Notice to our designated copyright agent at support@memoryguestbook.com. Your notice must contain the specific URL of the media, a description of the copyrighted work, and valid proof of ownership or authorization. PixShared will act expeditiously to remove infringing content upon receiving a valid legal notice.

11. Absolute Indemnification

You (acting as an Event Host, Purchaser, and/or Uploader) agree to indemnify, defend, and hold harmless PixShared, its parent companies, partners, affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or in any way connected with:

Content you upload, view, distribute, or print via the Platform.

Your violation of these Terms or the legal rights of any third party.

Your management, distribution, physical placement, or handling of an event album or its corresponding QR code.

12. Disclaimer of Warranties

THE PLATFORM AND ALL PRODUCTS AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY FEDERAL LAW (INCLUDING SECTION 230 OF THE COMMUNICATIONS DECENCY ACT), PIXSHARED EXPRESSLY DISCLAIMS ANY LIABILITY FOR THE DELETION, MISDELIVERY, REAL-WORLD FALLOUT, OR FAILURE TO STORE ANY USER-GENERATED CONTENT. PIXSHARED DOES NOT WARRANT THAT THE CONTENT DISPLAYED IN ANY ALBUM IS SAFE, LEGAL, ACCURATE, OR APPROPRIATE.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL PIXSHARED BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, REPUTATION, OR DATA, ARISING OUT OF OR RELATED TO USER-GENERATED CONTENT, EVEN IF PIXSHARED HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. PIXSHARED’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF THESE TERMS OR THE USE OF THE PLATFORM IS STRICTLY LIMITED TO THE AMOUNT YOU PAID TO PIXSHARED IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

14. Privacy & Third-Party Services

Privacy: Your personal information and data privacy choices are handled strictly according to our Privacy Policy, including provisions relating to the California Consumer Privacy Act (CCPA).

Third-Party Integrations: We utilize trusted third-party providers for payment processing, automated workflows, shipping logistics, analytics, and infrastructure hosting. These providers maintain independent operational terms and privacy policies.

15. Governing Law & Jurisdiction

These Terms are governed by, interpreted, and enforced in accordance with the laws of the State of Kansas, without regard to conflict‑of‑law rules. Any legal actions, suits, or disputes arising directly out of these Terms must be filed and resolved exclusively in the state or federal courts located within the State of Kansas.

16. Changes to Terms

We reserve the right to update or modify these Terms at any time without prior notice. The “Last Updated” date at the top of this document will reflect the most recent revision. Continued use of our digital platform or placement of orders following an update constitutes absolute acceptance of the revised Terms.
